Nonprofit and community organizations face legal questions at every stage, and the choices made early often shape what is possible later. Amiotte Law PC works with founders, boards, and executive directors to establish the right legal structures and to keep organizations on solid footing as they grow and their missions evolve.
We assist nonprofit and mission-driven organizations with:
- Entity formation and incorporation under South Dakota nonprofit law
- Applying for and maintaining 501(c)(3) and 501(c)(4) tax-exempt status, and structuring affiliated organizations
- Drafting and amending articles, bylaws, and governance policies
- Advising boards and directors on fiduciary duties, conflicts of interest, and board procedures
- Charitable registration and ongoing compliance obligations
- Fiscal sponsorship arrangements, contracts, and organizational agreements
- Conflict-of-interest, whistleblower, and document-retention policies
- General counsel for the legal questions that arise in day-to-day operations
We understand that nonprofit leaders are focused on their mission, not on legal technicalities. Our role is to handle the legal foundation — structure, governance, and compliance — so your organization can operate with confidence and devote its energy to the work that matters.
Non-Profit Advisement
Amiotte Law PC advises nonprofit and community organizations from formation through ongoing operations. We assist with choosing and establishing the right structure, including 501(c)(3) and 501(c)(4) designations, drafting bylaws, policies, and board procedures. We counsel boards and directors on duties, conflicts of interest, and charitable compliance obligations. We help organizations address legal questions as their mission grows. Our goal is to help mission-driven groups build a sound legal foundation so they can focus on the work that matters.
Mediation and Dispute Resolution
Not every case should go to court. Parties may want to resolve their dispute without involving a judge or want to avoid a jury trial. When a case has been litigated for a long period of time, it may be necessary for the parties to try to resolve it so they can remain in control of the outcome and avoid expense. We skillfully navigate disputes to help resolve cases to clients’ satisfaction.
Ms. Amiotte is a professionally trained mediator and understands that litigation is not for everyone. The prospect of a protracted court case is undesirable for a variety of reasons, whether it is a dispute involving custody, divorce, liability, real estate, probate, personal injury, or tribal and government dispute. This is because litigation often yields an outcome that is not entirely what either side wants or expects.
Mediation allows the parties in a dispute to discuss the issues in an open, facilitated setting, minimize potential loss, provide direct input for a resolution and preserve relationships. Often mediation is the most desirable course to take to save time, money, and allow the parties to move forward and put a dispute behind them.
Attorney Stephanie Amiotte uses the latest mediation approach learned at the Harvard Law School Intensive Medication course that puts the parties in the decision-making role to facilitate optimal, desired outcomes. She mediates complex liability, personal injury, worker’s compensation, resort and hotel liability, correctional healthcare, nursing home abuse, divorce and custody, worker’s compensation, and tribal and government matters.
In tribal and government disputes, our unique experience in Indigenous issues, dual tribal/U.S. citizenship and experience navigating government affairs serves parties in this niche area of alternative dispute resolution. With our Indigenous cultural awareness and diplomatic approach to the competing but often overlapping interests of government-to-government nations, we can draw from our past proven results so tribes and government Agencies can bridge the gap on policy and issue areas.
